Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Quotera, including quotera.in and the Quotera web application. By creating an account, applying for early access, or using the service, you agree to these Terms.

1. About Quotera

Quotera helps Indian service businesses and SMBs manage clients, quotations, GST-ready invoices, branded PDFs, and payment records in one workspace.

Quotera is a document and payment tracking tool. It is not accounting software, ERP software, or a payment gateway. Payments happen outside Quotera (bank transfer, UPI, cash, etc.) and you record them in the product.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use Quotera. If you use Quotera on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.

You agree to provide accurate account and organization information and to keep it up to date.

4. Early access

Quotera may be offered on an early access basis. Features, pricing, limits, and availability may change as we improve the product.

During early access, approved users may access the product free of charge unless we communicate otherwise in writing. We will provide reasonable notice before introducing paid plans.

5. Your content and data

You retain ownership of the business data, client information, documents, and files you upload or create in Quotera (“Your Content”).

You grant us a limited license to host, process, display, and transmit Your Content solely to provide and improve the service, including generating PDFs and showing previews.

You are responsible for the accuracy, legality, and tax treatment of quotations, invoices, and records you create. Quotera does not provide tax, legal, or accounting advice.

6. Acceptable use

You agree not to:

  • Use Quotera for unlawful, fraudulent, or misleading activity.
  • Upload malware or attempt to disrupt, probe, or reverse engineer the service.
  • Access another organization’s data without authorization.
  • Misrepresent Quotera as a licensed payment processor or chartered accounting service.
  • Resell or sublicense the service except as expressly permitted by us.

7. PDFs, sharing, and third-party services

When you download or share a PDF or link, delivery depends on channels you control, such as WhatsApp, email, or file storage. We are not responsible for how third-party platforms handle your files.

You are responsible for ensuring shared documents comply with applicable tax and business regulations.

8. Fees and billing

Early access may be free. After public launch, paid plans may apply. If we introduce fees, we will communicate pricing and billing terms before charging you.

Unless stated otherwise, fees are non-refundable except where required by law.

9. Intellectual property

Quotera, including its software, design, branding, and documentation, is owned by us and protected by applicable intellectual property laws. These Terms do not grant you ownership of the product.

10. Service availability and changes

We aim to keep Quotera reliable, but the service is provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue features with reasonable notice where practicable.

We may perform maintenance that temporarily affects availability.

11. Disclaimer of warranties

To the fullest extent permitted by law, Quotera is provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that calculations, tax splits, or document outputs are error-free or suitable for every business scenario. You should review documents before sending them to clients.

12. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities arising from your use of Quotera.

Our total liability for any claim relating to the service will not exceed the amount you paid us for Quotera in the twelve months before the event giving rise to the claim, or INR 5,000 if you have not paid us, whichever is greater.

13. Indemnity

You agree to indemnify and hold us harmless from claims arising out of Your Content, your use of Quotera, or your violation of these Terms or applicable law.

14. Termination

You may stop using Quotera at any time. We may suspend or terminate access if you materially breach these Terms, create risk for other users, or where required by law.

Upon termination, your right to use the service ends. Provisions that by nature should survive termination will continue to apply.

15. Governing law

These Terms are governed by the laws of India. Courts located in India shall have exclusive jurisdiction over disputes arising from these Terms or your use of Quotera, unless applicable law requires otherwise.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date on this page. Continued use after changes become effective constitutes acceptance of the revised Terms.
